AML compliance for real estate developers in ADGM

Real estate developers operating within Abu Dhabi Global Market are subject to ADGM's AML framework. This page covers who supervises them, what they must check and when they must report.

Supervised by

The sector in brief

Real estate developers within ADGM are regulated as designated non-financial businesses under the ADGM AML framework. They must carry out customer due diligence, identify beneficial owners and report suspicious transactions.

The ADGM Registration Authority supervises real estate developers in the zone and expects them to have a written AML programme proportionate to the size and risk of their business.

Developers dealing in high-value units must pay close attention to the source of funds, the identity of the buyer and any third parties involved in the transaction.

Where the risk sits

Cash and virtual asset purchases

Large payments outside the normal banking channel, including in virtual assets, raise the risk of funds from unknown or illicit sources.

Ownership through intermediaries

A buyer acting through a company or nominee may conceal who ultimately owns the property.

Third-party payments

Funds arriving from an account not held by the named buyer break the audit trail between buyer and source.

Politically exposed persons

PEPs or their family members buying premium property at or above market value require enhanced due diligence.

Who supervises you

Real estate developers operating within Abu Dhabi Global Market are supervised by the ADGM Registration Authority for AML purposes.

The supervisor decides the detailed rules for your licence category, so always read its current guidance alongside this page.

What supervisors expect

  • An AML policy and risk assessment specific to real estate development in ADGM.
  • Customer due diligence at onboarding and before completion, with documented source of funds.
  • Identification and verification of all beneficial owners behind corporate buyers.
  • Sanctions and PEP screening at onboarding and ongoing monitoring.
  • Reporting through the ADGM Financial Intelligence Unit when a transaction or enquiry raises concern.
  • Record keeping for the required period and staff training proportionate to role.

Red flags to watch

  • A buyer who cannot explain the source of funds or whose declared income does not support the purchase.
  • Payment in cash, virtual assets or from a third-party account.
  • A newly formed company with no apparent business history acquiring a high-value unit.
  • Pressure to complete quickly without full documentation.
  • Unusual price levels compared with market comparables.

A worked example

Illustration, not a real case

Off-plan unit paid by a foreign company

A buyer contracts for a high-value off-plan unit using a recently incorporated foreign company. Payment arrives from a third account. The developer asks for the company's beneficial owners, proof of the source of funds and an explanation of why the payment came from a different account. If the buyer cannot provide it before completion, the developer should decline and consider whether a report is appropriate.

Questions answered

Are ADGM real estate developers required to register with a supervisor?

Yes. Developers carrying out regulated AML activities in ADGM must register with the ADGM Registration Authority, which supervises compliance with the ADGM AML framework.

When must customer due diligence be completed?

Before completion of the transaction or as soon as reasonably practicable during onboarding, and in any case before handing over keys or transferring title.

What if a buyer refuses to provide source of funds?

The developer should not proceed with the transaction and should consider whether the refusal itself gives grounds for a suspicious transaction report.
